"• DEVELOPMENT AGREEMENT DATED DECEMBER 20, 2021 (“DA”) EXECUTED BETWEEN THE DHARAMPAL KHATANA, SURINDER SINGH KHATANA, CHANDER MOHAN KHATANA AND PRIYA MOHAN KHATANA (“COLLECTIVELY “LAND OWNERS”) AND CLARIKA INFRA PRIVATE LIMITED (“DEVELOPER”).
• UNDER THE TERMS OF THE DEVELOPMENT AGREEMENT THE PARTIES HAVE AGREED FOR THE CONSTRUCTION/DEVELOPMENT OF AN AFFORDABLE PLOTTED HOUSING COLONY WITH LOW RISE FLOORS UNDER THE TERMS OF THE DEEN DAYAL JAN AWAS YOGNA POLICY, 2016 OF THE GOVERNMENT OF HARYANA (“PROJECT”) OVER A PARCEL OF LAND ADMEASURING APPROXIMATELY 10 ACRES (80 KANAL) SITUATED IN VILLAGE DHUNELA, TEHSIL SOHNA, SECTOR 35, DIST – GURUGRAM, HARYANA (“PROJECT LAND”) OWNED COLLECTIVELY BY THE LAND OWNERS.
• ARTICLE 4 OF THE DA STATES THAT THE DISTRIBUTABLE AMOUNTS AND THE SALEABLE AREA OF THE PROJECT SHALL BE DISTRIBUTED BETWEEN THE LAND OWNERS AND THE DEVELOPER IN THE FOLLOWING MANNER:
(A) THE LAND OWNERS SHALL BE ENTITLED TO RECEIVE 27% (TWENTY SEVEN PERCENT) OF THE DISTRIBUTABLE AMOUNTS SUBJECT TO A CAP OF RS. 107,13,00,000 ALONG WITH 20,000 SQFT OF THE SALEABLE AREA OF THE PROJECT; AND
(B) THE BALANCE DISTRIBUTABLE AMOUNTS AND SALEABLE AREA OF THE PROJECT SHALL ACCRUE TO THE DEVELOPER
• ARTICLE 6 OF THE DA, DEALING WITH INTEREST FREE REFUNDABLE SECURITY DEPOSIT (“IFRSD”), STATES THAT THE DEVELOPER HAS PAID AN AMOUNT OF 8,70,00,000/- AS IFRSD TO THE LAND OWNERS TO SECURE THE PERFORMANCE OF ITS OBLIGATIONS UNDER THE DA WHICH SHALL BE REFUNDED FROM THE MONIES ENTITLED TO THE LAND OWNERS FROM THE DISTRIBUTABLE AMOUNTS OF THE PROJECT AS MENTIONED ABOVE. "
AS PER REVISED SUPPLEMENTAL JDA DATED 10/06/2022, TERMS OF REVENUE SHARE HAS BEEN AMENDED AS FOLLOWS CLAUSE 4.4 OF SUPPLEMENTAL DEED.
(A) IN CASE OF DEVELOPMENT OF THE PROJECT AS PLOTTED COLONY WITH LOW RISE FLOORS, RECEIVE 27% (TWENTY SEVEN PERCENT) OF THE DISTRIBUTABLE AMOUNTS,; AND/OR
(B) IN CASE OF DEVELOPMENT OF THE PROJECT AS A PLOTTED RESIDENTIAL COLONY, RECEIVE 40% (FORTY PERCENT) OF THE DISTRIBUTABLE AMOUNTS TILL THE RECEIPT OF COMPLETION CERTIFICATE IN RELATION TO COMPLETION OF INFRA OF ALL THE PLOTS IN THE PROJECT AND RECEIVE 47.5% (FORTY SEVEN POINT FIVE PERCENT) OF THE DISTRIBUTABLE AMOUNTS POST THE LAUNCH OF SALES OF PHASE 2 OF THE PROJECT.
IT IS PROVIDED HEREUNDER THAT ANY AMOUNT(S) RECEIVABLE BY THE LAND OWNERS UNDER ARTICLE 4.1.1(A) AND/OR ARTICLE 4.1.1 (B) HEREUNDER SHALL BE SUBJECT TO A CAP OF RS. 107,13,00,000/- (RUPEES ONE HUNDRED SEVEN CRORE AND THIRTEEN LAKH ONLY) (?CAPPED AMOUNT?).
