GIST OF COLLABORATION AGREEMENT
• DEVELOPMENT AGREEMENT DATED DECEMBER 09, 2022 (“DA”) EXECUTED BETWEEN THE DHOOPLA ENTERPRISE PRIVATE LIMITED, THROUGH ITS AUTHORIZED SIGNATORY MR. ANKUR SETH (“COLLECTIVELY “LAND OWNER”) AND ATS COMMERCIAL REAL ESTATE PRIVATE LIMITED THROUGH ITS AUTHORIZED SIGNATORY MR. MOHIT ARORA (“DEVELOPER”).
• UNDER THE TERMS OF THE DEVELOPMENT AGREEMENT THE PARTIES HAVE AGREED FOR THE CONSTRUCTION/DEVELOPMENT OF AN AFFORDABLE RESIDENTIAL PLOTTED COLONY UNDER THE TERMS OF THE DEEN DAYAL JAN AWAAS YOGNA POLICY, 2016 OF THE GOVERNMENT OF HARYANA (“PROJECT”) OVER A PARCEL OF LAND ADMEASURING APPROXIMATELY 5.05 ACRES SITUATED IN VILLAGE DHUNELA, TEHSIL SOHNA, SECTOR 35, DISTRICT – GURUGRAM, HARYANA (“PROJECT LAND”) OWNED COLLECTIVELY BY THE LAND OWNERS.
• ARTICLE 4 OF THE DA STATES THAT THE DISTRIBUTABLE AMOUNTS AND THE SALEABLE AREA OF THE PROJECT SHALL BE DISTRIBUTED BETWEEN THE LAND OWNERS AND THE DEVELOPER IN THE FOLLOWING MANNER:
(A) THE LAND OWNER SHALL BE ENTITLED TO RECEIVE 70% (SEVENTY PERCENT) OF THE SALEABLE AREA OF PROJECT AND LAND OWNER SHALL ALSO BE ENTITLED TO AN ADDITIONAL AREA OF 250 SQUARE YARDS (REFERRED AS “LAND OWNER’S SHARE”) AND
(B) THE BALANCE 30% (THIRTY PERCENT) OF SALEABLE AREA LESS THE 250 SQUARE YARDS OF THE ADDITIONAL AREA ACCRUING TO THE LAND OWNER SHALL ACCRUE TO THE DEVELOPER (REFERRED AS “DEVELOPER’S SHARE”).
